These Terms & Conditions (“Terms”) govern the use of our website, products, services, and all interactions between Apex Dental Supplies Limited and dental professionals, clinics, suppliers, partners, and users. By accessing our website, placing an order, or engaging Apex Dental for any service, you agree to these Terms.

1. Definitions

For the purposes of these Terms:

  • “Client” means the dentist, dental clinic, practice, authorised staff, or organisation placing an order with us.
  • “Patient” refers to an individual receiving dental treatment from the Client.
  • “Products” include crowns, bridges, dentures, veneers, implant restorations, orthodontic appliances, and all other dental prosthetics manufactured or supplied by Apex Dental.
  • “Services” include design, fabrication, digital scanning, CAD/CAM work, 3D printing, consultations, delivery, and all related support services.
  • “Website” means apexdentalhk.com and associated online platforms.

2. Scope of Services

Apex Dental provides dental laboratory services exclusively to licensed dental professionals. We do not offer diagnosis, treatment planning, or healthcare services directly to patients. The Client is solely responsible for:

  • the accuracy of prescriptions, clinical information, impressions, scans, and patient-related data supplied to us;
  • compliance with all applicable dental, clinical, and regulatory standards in their jurisdiction;
  • ensuring that products are fitted, adjusted, or installed by qualified professionals.

3. Orders and Acceptance

3.1 Order Submission

Orders may be submitted through physical forms, digital systems, CAD files, online portals, email, or authorised channels.

3.2 Accuracy of Information

The Client must provide complete and accurate:

  • impressions or scans,
  • design specifications,
  • shade information,
  • bite registration,
  • implant system details,
  • special instructions.

Apex Dental is not responsible for delays, inaccuracies, or remakes arising from incomplete or incorrect information.

3.3 Order Confirmation

An order is only accepted when Apex Dental confirms receipt and begins production. We reserve the right to decline or cancel orders in cases such as:

  • incomplete clinical information,
  • unclear prescriptions,
  • suspected misuse,
  • regulatory concerns.

4. Pricing & Payment Terms

4.1 Pricing

Prices are provided through official quotations, price lists, or contracted agreements. Apex Dental may adjust pricing with notice, unless otherwise contractually fixed.

4.2 Payment Terms

Unless specified otherwise:

  • Payment is due on invoice date and must be settled within the agreed credit terms.
  • Overdue payments may incur interest, late fees, or suspension of service.

4.3 Currency

All amounts are payable in Hong Kong Dollars (HKD) unless otherwise agreed.

4.4 Non-Payment

Apex Dental reserves the right to:

  • withhold delivery,
  • suspend ongoing services,
  • charge late fees,
  • pursue legal recovery actions.

5. Delivery & Turnaround Times

Turnaround times are estimates, not guarantees, as they depend on case complexity, material availability, clinical accuracy, and logistics.

Apex Dental is not liable for delays caused by:

  • incomplete impressions or scans,
  • inadequate instructions,
  • shipping delays,
  • supplier or logistics disruption,
  • regulatory inspections,
  • force majeure events.

Risk of loss transfers to the Client once the delivery has been handed to a courier or collected.

6. Product Warranty & Remakes

6.1 Warranty

Apex Dental warrants that products are manufactured according to the specifications provided by the Client and industry standards.

6.2 Warranty Limitations

Warranty does not cover:

  • incorrect impressions, scans, or clinical information;
  • design changes requested after production has started;
  • adjustments, relines, or modifications performed by the Client;
  • improper storage, handling, or installation;
  • natural intraoral conditions changing after delivery;
  • patient misuse, neglect, or failure to follow clinical instructions.

6.3 Remake Policy

Remake eligibility is subject to evaluation. Remakes due to manufacturing defects are provided at no cost. Remakes due to clinical inaccuracies or changes in instructions may be chargeable.

7. Client Responsibilities

The Client agrees to:

  • provide accurate and complete clinical information;
  • obtain all necessary patient consents for sharing health data;
  • comply with local health and dental regulations;
  • follow proper procedures for fitting, installation, and patient aftercare;
  • refrain from misusing or misrepresenting Apex Dental products.

8. Professional Liability

Apex Dental is not responsible for:

  • patient treatment outcomes,
  • diagnosis or treatment planning,
  • clinical decisions or adjustments made by the Client,
  • suitability of the product for specific patients.

All clinical decisions remain the sole responsibility of the licensed dentist.

9. Intellectual Property

Digital designs, CAD files, workflows, 3D models, images, branding, and proprietary manufacturing methods remain the intellectual property of Apex Dental unless otherwise agreed in writing.

The Client may not:

  • reverse engineer,
  • reproduce,
  • distribute,
  • or use our IP for commercial purposes without permission.

10. Website Use

By using our website, you agree to:

  • refrain from attempting to breach security,
  • not misuse forms or upload malicious files,
  • respect intellectual property rights.

We may modify site content, suspend features, or update functionality at any time.

11. Data Protection & Privacy

Apex Dental collects and processes personal data in accordance with our Privacy Notice.

By using our services, the Client confirms they have:

  • obtained valid patient consent for sharing personal or health data,
  • complied with all applicable privacy and health-data regulations.

12. Limitation of Liability

To the greatest extent permitted by law:

Apex Dental is not liable for:

  • indirect, special, incidental, or consequential damages;
  • loss of profits, revenue, or business;
  • clinical errors or misuse;
  • delays beyond our control.

Our total aggregate liability shall not exceed the amount paid for the specific product or service involved.

13. Indemnity

The Client agrees to indemnify and hold Apex Dental harmless from:

  • claims arising from clinical misuse,
  • failure to obtain patient consent,
  • inaccurate prescriptions or instructions,
  • regulatory breaches,
  • patient disputes unrelated to manufacturing defects.

14. Suspension or Termination

We may suspend or terminate services if:

  • payments are overdue,
  • information provided is false or unlawful,
  • abusive or unethical behaviour occurs,
  • regulatory or safety concerns arise.

Outstanding obligations remain enforceable after termination.

15. Force Majeure

Apex Dental is not liable for failure or delays caused by events beyond reasonable control, including:

  • natural disasters,
  • pandemics,
  • power outages,
  • supply chain interruptions,
  • strikes,
  • government actions.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of Hong Kong SAR.

Disputes shall be resolved exclusively in the courts of Hong Kong unless otherwise agreed in writing.

17. Changes to Terms

Apex Dental may update these Terms at any time. Changes take effect once posted on the website. Continued use of our services constitutes acceptance of updated Terms.
